This UploadKeep.com 'Terms of Service' (the "Agreement") describes the terms and conditions on which UploadKeep.com ("we" or "our company") offer services to you ("User" or "You"). By registering for or using UploadKeep.com services, User agrees to be bound by the following terms and conditions:

Ownership
You acknowledge that all materials (except those uploaded by users) provided on this Web site, including but not limited to information, documents, products, logos, graphics, sounds, images, software, and services (collectively "Materials"), are provided either by UploadKeep.com or by their respective third party developers and vendors (collectively "Third Party Providers") All other product names, company names, marks, logos, and symbols may be the trademarks of their respective owners.

User Information
User agrees that the information it provides to UploadKeep.com contact information forms is accurate and complete. User agrees to maintain and update this information to ensure that it is true, accurate, current and complete. If, at any time, any information provided by User is untrue, inaccurate, not current or incomplete, UploadKeep.com will have the right to suspend or terminate User's account and this Agreement.

Each User is responsible for all activities originating from his or her account. Accounts cannot be transferred or used by anyone other than the User and authorized account sub-users. UploadKeep.com may suspend or terminate the account of Users who share their account with anyone other than the user and authorized account sub-users. Knowingly using a registered account assigned to another person is a violation of UploadKeep.com's terms of use. In addition to violating this policy, the sharing of accounts, passwords or usernames could result in unauthorised activity for which the authorised user will be held responsible. All Users are responsible for the actions of their authorized account sub-users and agree to ensure that their authorized account sub-users abide by the rules set forth in these terms. You must immediately notify UploadKeep.com if you have any suspicion or reason to believe that your account, username and/or password have been misused in any way.

User Data
User has sole responsibility and liability for the data you store on UploadKeep.com's servers. User controls its data through its generated link. UploadKeep.com encourages User to archive its data regularly and frequently; User bears full responsibility for archiving its data and sole liability for any lost or irrecoverable data. User agrees to maintain its data in compliance with its legal obligations. UploadKeep.com will delete User data upon termination of this Agreement.

Copyright or Trademark Infringement
UploadKeep.com Services may be used only for lawful purposes. Transmission, distribution or storage of any material in violation of any applicable law or regulation, including export control laws, is prohibited. This includes, without limitation, material protected by patent, copyright, trademark, service mark, trade secret or other intellectual property rights. If you use another party's material, you must obtain prior authorization. By using the Services, you represent and warrant that you are the author and copyright owner and/or proper licensee with respect to any hosted content and you further represent and warrant that no content violates the trademark or rights of any third party. UploadKeep.com reserves the right to suspend or terminate a User's transmission(s) that, in UploadKeep.com's discretion, violates these policies or violates any law or regulation.

Acceptable Use

Acceptable Use Policy applies to all persons and entities (collectively, "users") using the products and services of UploadKeep.com, Inc., ("UploadKeep.com") .. The policy is designed to protect the security, integrity, reliability, and privacy of the UploadKeep.com hosting network. UploadKeep.com reserves the right to modify this policy at any time, effective immediately upon posting of the modification. Your use of UploadKeep.com's web site constitutes your acceptance of the Acceptable Use Policy in effect at the time of your use. Each user shall be responsible for determining what laws or regulations are applicable to his or her use of UploadKeep.com.
2. Storing or distribution of "pirated" or other software products that are not appropriately licensed for use by the user.
3. Storing or distribution of any malicious programs (e.g., viruses, trojan horses and worms).
4. Storing or distribution of any files that promote harassment of other parties.

UploadKeep.com may immediately suspend and/or terminate the user's service for violation of any provision of this policy upon verbal or written notice, which notice may be provided by voicemail or E-mail. Prior to suspension or termination, UploadKeep.com will attempt to work with our customers to cure violations of this policy and ensure that there is no re-occurrence; however, UploadKeep.com reserves the right to suspend or terminate based on a first offense.

Subpoenas
UploadKeep.com may be required to disclose information to individuals asserting rights under the DMCA. You hereby authorize UploadKeep.com to release information about you, and/or the materials, data or files uploaded through our site if required by law or subpoena without notice to you, and in accordance with our Privacy Policy.

No Warranty
You expressly understand and agree that: (a) your use of the Service is at your sole risk. UploadKeep.com Services are provided on an "as is" and "as available" basis. UploadKeep.com and its suppliers, to the fullest extent permitted by law, disclaim all warranties, including but not limited to warranties of title, fitness for a particular purpose, merchantability and non-infringement of proprietary or third party rights. UploadKeep.com and its suppliers make no warranties about the accuracy, reliability, completeness, or timeliness of our Services, software, or content

Indemnity
You agree to defend, indemnify, and hold harmless UploadKeep.com, its affiliates, officers, directors, employees and agents, from and against any claims, actions or demands, including without limitation reasonable legal fees, alleging or resulting from your use, or use by your authorized account sub-users, of the Service, or your breach of this Agreement or other UploadKeep.com policies, terms and conditions.

Limitation of Liability
Your use of UploadKeep.com is at your own risk. If you are dissatisfied with any aspect of our Service or with these terms & conditions, or any other rules or policies, your sole remedy is to discontinue use of the Service. You expressly understand and agree that UploadKeep.com shall not be liable for any direct, indirect, incidental, special, consequential exemplary damages, including but not limited to, damages for loss of profits, goodwill, use, data or other intangible losses (even if we have been advised of the possibility of such damages)

Modifications to Agreements, Policies or to our Services
UploadKeep.com may modify, alter or change this policy without notice to You, at any time. Please review this site's policies regularly to ensure that you agree with the policies and procedures in effect. We also reserve the right at any time to modify or discontinue the Service, temporarily or permanently, with or without notice to you. You agree that we shall not be liable to you or any third party for any modification, suspension or discontinuance of the Service.

These terms and conditions will be governed by and construed in accordance with the laws of the United States of America.
